1. Is it OEM?
2. I tried to use a key followed with an Upgrade Disc with another DVD doing a clean install, the key worked.
Does it mean actually I don't need to "Upgrade", instead, use the key following that disc to clean install and get a genuine Windows 7 Ult?

Or actually they are an upgrade for Win 7 HP?!

我的理解 upgrade 版是無分 OEM 的

if u don't hv original windows before (Win2000 up), even u can install, it's not genuine license
